What Happened
A Buyer entered into a signed Illinois residential purchase contract with a Wholesaler who was not the owner of record, but instead was selling an equitable/contractual interest in the property (a common "wholesale" structure where the wholesaler profits by transferring the contract interest).
The Buyer completed attorney review, delivered earnest money, and appeared ready to close. On the scheduled closing date, the transaction stalled due to seller-side closing conditions that were not satisfied — including the failure to provide a required survey and an unresolved municipal issue: a missing water meter prevented issuance of a final water payment certificate, which the title company required to close.
The Buyer agreed to postpone closing while the Wholesaler and their side worked to cure the issues and reschedule. Over the following weeks, the Buyer continued pushing to close and relied on repeated updates that the water certificate and related requirements were "in progress" and would be completed before closing could be reset.
Despite those assurances, the Wholesaler ultimately diverted the deal and the property was sold to another party instead — cutting the Buyer out after the Buyer had remained ready to perform and after significant time had been spent navigating post-closing hurdles.
Outcome
The Buyer pursued claims arising out of the failed closing and post-closing delay process and successfully recovered against the Wholesaler who was attempting to profit from selling their equitable interest.
